These Terms govern access to and use of Africa Compute Fund services, including Monarch, Monarch Storefront, Monarch Cloud, Tender Desk, websites, applications, WhatsApp services, APIs, integrations, and related products.
1. Acceptance of Terms
By using our services, you agree to these Terms.
2. Description of Services
Services may include storefronts, messaging workflows, lead capture, booking management, payment-instruction workflows, Google Calendar sync, AI-generated outputs, document workflows, cloud/compute services, APIs, and dashboards. We may add or modify features at any time.
3. Account and User Responsibility
You are responsible for accurate account information, credential security, account activity, and reporting suspected unauthorized access.
4. Merchant and Customer Responsibilities
Merchants are responsible for products/services, pricing, payment instructions, communication, fulfillment, refunds, cancellations, customer disputes, taxes, permits, regulatory compliance, and lawful use of customer data. Africa Compute Fund provides technology infrastructure and is not the merchant of record unless explicitly stated.
5. AI Outputs
AI outputs may be imperfect, incomplete, or unsuitable in some cases and should be reviewed. Unless expressly agreed, services do not provide professional legal, medical, financial, tax, accounting, engineering, or regulatory advice.
6. Acceptable Use
You agree not to use services for illegal activity, rights violations, spam, abuse, impersonation, malware, unauthorized access, fraud, deceptive practices, harmful scraping/attacks, or misuse of customer data.
7. Third-Party Dependencies
Services rely on third parties including WhatsApp, Google, payment providers, hosting providers, AI providers, analytics tools, storage, and infrastructure vendors. Third-party outages, policy changes, and limitations may impact service behavior.
8. Google Calendar Integration
By connecting Google Calendar, you authorize booking-related event creation, updates, and management for integration functionality. You may revoke/disconnect access at any time.
9. WhatsApp Integration
WhatsApp functionality is affected by third-party policies, template rules, delivery, number/account status, and platform availability.
10. Payments, Plans, and Usage Limits
Services may be free, trial-based, usage-based, subscription-based, or paid. Plans may include quotas and limits. Non-payment, chargebacks, abuse, or excessive usage may result in feature restrictions or suspension.
11. Suspension and Termination
We may suspend/terminate for abuse, non-payment, illegal use, security risk, third-party/legal requirements, or operational reasons. Some data may be retained for legal, billing, security, fraud-prevention, dispute, or operational purposes.
12. Intellectual Property and User Content License
Africa Compute Fund and licensors own platform intellectual property. You retain ownership of your content and grant a limited license to host, process, transmit, display, and use content as necessary to operate and improve services.
13. Disclaimers
Services are provided “as is” and “as available,” without warranties of uninterrupted availability, fitness, merchantability, non-infringement, or error-free operation to the fullest extent permitted by law.
14. Limitation of Liability
To the fullest extent permitted by law, Africa Compute Fund is not liable for indirect or consequential damages. Where liability cannot be excluded, it is limited to amounts paid for the relevant service in the prior three months or applicable legal minimum.
15. Indemnity
You agree to defend, indemnify, and hold harmless Africa Compute Fund from claims/losses arising from your use of services, business operations, content, legal violations, or disputes with your customers.
16. Changes to Terms
We may update these Terms periodically. Continued use after updates means acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of Kenya, unless another written agreement states otherwise.
